Senior Associate/ Special Counsel (Corporate Commercial)

We currently have an exciting opportunity for a corporate lawyer with at least 5-10 years' experience to join our corporate team, working across corporate transactional, commercial, and insurance regulatory matters.
At Clyde & Co, the Corporate Team provides legal services across industries and sectors. The team is instructed on behalf of small to medium and large / multi-national companies spanning across the shipping, industrial, financial, publishing, construction, and insurance sectors.
You will work with highly regarded corporate / commercial and corporate insurance partners in the Australian market and have the opportunity to work closely with our UK, European, Middle Eastern and Asian colleagues on cross-jurisdictional transactions and matters requiring Australian legal analysis and input.
About the Role
The successful candidate will work on a variety of corporate, governance, commercial, M&A, and insurance regulatory and advisory instructions. As a 5 -10 year PQE lawyer, it is expected that you will undertake the following types of work:
- drafting and negotiating key transaction documents and providing advice on areas of legal risk for clients;
- project managing transactions to ensure that key deadlines are met, including working closely with other legal teams across the firm to deliver an integrated service to our clients as well as working closely with other advisers on transactions (eg: tax);
- managing due diligence processes;
- working with our corporate teams across the world on transactions and regulatory approval processes;
- advising clients on corporate governance, regulatory and compliance issues;
- managing and building external client relationships, including assisting with business development activities for key existing clients and new clients; and
- mentoring junior associates in the team and assisting with providing training to junior associates both in the team and across the firm.
Key Skills & Experience
The key requirement of this role is that you have solid and consistent corporate transactional experience, gained from private practice.
A good understanding of the regulatory and compliance environment in which the insurance industry operates would be helpful. You should have a genuine desire to build on and expand your corporate skillset into dealing with the corporate matters that arise in transactions involving the regulated insurance sector.
You will need to demonstrate relevant experience, strong academics, be self-driven, and have excellent verbal and written communication and time management skills. You will have the ability to manage competing priorities effectively.
