The Executive Assistant & Governance Coordinator will provide proactive, professional, strategic executive support to Chief and Vice President level leaders. Anticipate needs, manage priorities and ensure seamless coordination of high-level projects through timely and accurate completion. Serve as a trusted partner and liaison between the executive and key stakeholders including direct reports, senior leadership, board members, community donors and external partners.  Prepare high-quality correspondence, reports, presentations, screens and prioritize calls and communications, manage complex calendars and support the overall operational and strategic effectiveness of the executive office. Operate with limited supervision, exercising independent judgment, problem-solving and strategic thinking in the execution of duties and responsibilities. Under the direction of the Chief Legal Officer, provides comprehensive support for the governance work of the Board of Directors and Board Committees. Maintains all corporate governance records, ensuring meeting minutes, resolutions and other board records are complete and available for inspection. Maintains functional knowledge of corporate bylaws and other governing documents. Prepares, assembles and securely distributes board books and materials. Plans and coordinates the governance calendar. Drafts Board and committee meeting minutes and sees them through the full review and approval cycle. Administers the board portal (e.g. Diligent or equivalent) and user access. Maintains Board and committee member rosters, meeting attendance records, conflict of interest disclosures, term/committee assignments, board member onboarding materials and governance education records.  Supports the Chief Legal Officer in preparing board resolutions, bylaws amendments and other documents for board action. This position is supervised by the Executive Office Manager but provides support to assigned executive level leaders.


 Required Qualifications: Executive Assistant & Governance Coordinator 


• Minimum of five years’ experience in an executive office or law firm supporting top level executives or attorneys required.

• Corporate governance experience required.
• High school education or equivalent required.
• Bachelor's degree OR paralegal degree OR equivalent combination of education/experience combined (one year of education equals one year of experience) required.
• Advanced proficiency with Microsoft Office suite to include: Word, Excel, PowerPoint and Outlook applications required.
• Proficiency and aptitude for other applications that may be used in the course of fulfilling responsibilities, such as board portals, required.
• Exceptional communication skills, both written and verbal, including correct use of grammar, spelling, punctuation, knowledge of business correspondence formats, and a clear, distinct speaking voice required.
• Ability to compose routine correspondence, minutes, reports and other documents required.
• Strong organizational skills and ability to manage multiple projects and tasks required.
• Ability and maturity to manage highly sensitive and confidential information required.
• Ability to function independently, possesses strong critical thinking, problem-solving, and decision-making skills required.
• Basic knowledge of business contracts and an understanding of corporate documents required.
• Work effectively with staff in a team-oriented environment with a positive, can-do attitude required.
• Adept in developing and maintaining strong relationships with management, staff, physicians and other stakeholders required.
• Exhibit a high degree of professionalism, business judgment, tact and diplomacy required.

Preferred Qualifications: Executive Assistant & Governance Coordinator 

• Experience in a health care or non-profit company preferred.

• Legal background preferred.
