The Job

As a General Legal Counsel, Asia, you’ll get to:

The General Legal Counsel will lead legal operations across Asia/APR (the "Region"), encompassing Mainland China, Hong Kong, Taiwan, Macau, Japan, South Korea, Vietnam, Singapore, Thailand, Malaysia, Indonesia and the Philippines. This role will be responsible for leading and developing a regional legal team and providing comprehensive, commercially focused legal support to all business units and functions across the Region. The ideal candidate will bring a strong track record of managing regional legal teams in complex environments, with the ability to operate strategically while remaining hands-on as needed. Success in this role will require proven people leadership, sound business judgment, excellent communication skills and strong problem-solving capability to deliver consistent, high-quality legal support across the Region.

Key Responsibilities

Legal Advisory:

  • Provide expert legal advice and support on a wide range of commercial matters, including contracts, joint ventures, mergers and acquisitions, company restructuring and corporate governance.
  • Advise on regulatory compliance and ensure the company's operations adhere to local laws and regulations in the Region.

Contract Management:

  • Lead the legal team to draft, review, and negotiate a variety of commercial agreements, including supply agreements, distribution agreements, service contracts, and partnership agreements.
  • Ensure that all contracts are legally sound and align with the company's strategic objectives.

Risk Management:

  • Identify and mitigate legal risks associated with the company's operations in the Region.
  • Develop and implement risk management strategies and policies to protect the company's interests.
  • Assist the internal audit team to take corrective action on its findings to mitigate risks.
  • Assist in internal investigations.

Dispute Resolution:

  • Manage and resolve commercial disputes, including litigation, arbitration, and mediation.
  • Work closely with external legal counsel when necessary to handle complex legal matters.

Corporate Governance:

  • Ensure compliance with corporate governance standards and best practices
  • Advise the board of directors and senior management on corporate governance issues.

Regulatory Compliance:

  • Monitor and interpret changes in laws and regulations that may impact the company's operations in the Region.
  • Develop and implement compliance programs to ensure adherence to legal and regulatory requirements.

Training and Development:

  • Provide training and guidance to internal stakeholders on legal and compliance matters.
  • Foster a culture of legal awareness and compliance within the organization.

IP Protection:

  • Work closely with the global IP team to develop appropriate strategies and take strong actions to effectively curb counterfeiting activities and protect our brands and patents.

Team Management:

  • Recruit and retain talent team members, provide coaching and training to team members to help them grow.

Government Relation support:

  • Assist in dealing with government relations matters when needed.

Key Capabilities:

  • LLM, Juris Doctor (JD) or equivalent law degree from a recognized institution.
  • Previously licensed to practice law in China (or at least passed the China Bar exam) or other relevant jurisdiction.
  • Minimum of 15 years of experience in commercial law, with a significant portion of that experience in the Region.
  • Strong knowledge of commercial, corporate, and regulatory laws in the Region and certain knowledge and experiences in handling lP related matters is a plus.
  • Proven track record of successfully managing complex legal matters and negotiations.
  • Excellent analytical, problem-solving, and decision-making skills.
  • Strong communication and interpersonal skills, with the ability to work effectively with diverse teams.
  • Experience in team building and management.
  • Fluency in both Chinese (Mandarin) and English is required.

Preferred Attributes:

  • Experience working in a multinational corporation; experience in a top-tier law firm will be a plus
  • Strong understanding of the business and cultural landscape of the Region.
  • Ability to manage a legal team and can work independently and as part of a team.
  • High ethical standards and integrity.
