Government Contracts Attorney

About the Role 

We are seeking a motivated, detail-oriented Government Contracts Attorney to join our legal team on-site in Arlington, Texas. The ideal candidate brings five to ten years of hands-on experience advising on federal procurement matters and possesses deep familiarity with the Defense Federal Acquisition Regulation Supplement (DFARS), Other Transaction Agreements (OTAs), data rights frameworks, and contract line item structuring. This role serves as a key legal partner to our contracts, business development, and program management teams, ensuring full regulatory compliance across the lifecycle of our government engagements.

Key Responsibilities:

Contracts & Procurement

  • Draft, review, and negotiate government prime contracts, subcontracts, teaming agreements, and modifications under FAR/DFARS.
  • Advise on contract line item number (CLIN) structure, cost/price breakdowns, and deliverable requirements to support compliant proposal submissions.
  • Support source selection activities including review of solicitations, bid/no-bid analysis, and evaluation of terms and conditions.
  • Assess flow-down obligations and ensure appropriate transfer of regulatory requirements to subcontractors and suppliers.

    Other Transaction Agreements (OTAs)

  • Provide strategic legal counsel on the pursuit, negotiation, and administration of Other Transaction Authority (OTA) agreements under 10 U.S.C. § 4022.
  • Advise on OTA eligibility criteria, prototype and follow-on production transaction structures, and consortium arrangements.
  • Monitor and interpret DoD OTA policy guidance and coordinate with program managers on compliance obligations.

    Data Rights & Intellectual Property

  • Analyze and negotiate technical data and computer software rights under DFARS Part 227, including assertions of limited rights, restricted rights, and government purpose rights.
  • Manage data rights assertions and license grants in proposals and contracts; advise on IP protection strategies during source selection.
  • Coordinate with engineering and program teams to identify and protect proprietary data and trade secrets within government deliverables.

    Compliance & Risk Management

  • Identify and mitigate legal and regulatory risks throughout the contract performance lifecycle, including DCAA audit support and DCMA interactions.
  • Advise on organizational conflicts of interest (OCIs), procurement integrity requirements, and ethics obligations.
  • Support export control compliance reviews (ITAR/EAR) as they intersect with contract performance and data deliverables.
  • Research and track evolving regulatory requirements and agency policies; brief internal stakeholders on material changes.

    Disputes, Claims & Litigation Support

  • Advise on contract disputes, REAs, and claims under the Contract Disputes Act (CDA); coordinate with outside counsel on board or court proceedings as needed.
  • Support bid protest responses at GAO and the Court of Federal Claims (COFC), including protest-avoidance strategy during proposal development.
  • Draft and review cure notices, show cause letters, and other contract correspondence involving performance or compliance issues.
  • Required Qualifications:

  • Juris Doctor (J.D.) from an ABA-accredited law school and active bar membership in good standing in any U.S. jurisdiction.
  • 5–10 years of substantive experience in federal government contracts law, either in private practice, in-house, or government service.
  • Demonstrated expertise with FAR, DFARS, and agency supplements applicable to Department of Defense procurements.
  • Working knowledge of OTA structures, including DoD prototype and follow-on production agreements.
  • Hands-on experience with data rights assertions and license negotiations under DFARS Part 227.
  • Proficiency in CLIN structure, contract types (FFP, CPFF, T&M, IDIQ), and contract modifications.
  • Ability to work on-site full-time in Arlington, Texas
  • Preferred Qualifications

  • Work Environment & Expectations

    This is a full-time, on-site position based in Arlington, Texas. The role requires daily collaboration with contracts, business development, and program management professionals in a fast-paced defense and government services environment. Occasional travel to client sites, government facilities, or other company locations may be required. The position operates under the general supervision of the General Counsel or designee, with significant latitude for independent judgment on day-to-day legal matters.
