Senior Counsel, Partnerships
This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Counsel, Partnerships based in the United States.
This is a high-impact legal role at the intersection of commercial strategy, technology partnerships, and complex contract negotiation. You will serve as the primary legal advisor for business development and partnerships, leading end-to-end structuring and negotiation of strategic commercial agreements that directly support company growth. The role operates in a fast-paced, high-autonomy environment where legal precision and business pragmatism must work hand in hand. You will collaborate closely with senior stakeholders across business development, product, sales, and engineering to enable scalable, legally sound partnerships. This position requires strong judgment under ambiguity, the ability to move quickly without sacrificing rigor, and comfort operating in a highly dynamic, mission-driven environment. You will also contribute to building scalable legal frameworks, templates, and playbooks that support rapid organizational growth. The work is both strategic and hands-on, shaping how key partnerships are structured and executed at scale.
Accountabilities:
- Lead negotiation and drafting of complex commercial agreements, including partnership, licensing, and API/data access contracts.
- Own end-to-end legal support for business development and partnerships, from term sheet development through final execution.
- Partner closely with business development, product, sales, and engineering teams to structure commercially viable and legally sound deals.
- Develop scalable legal frameworks, including contract templates, negotiation playbooks, and standard positions.
- Advise on legal risks related to data usage, intellectual property, exclusivity, liability, and integration structures.
- Identify and mitigate legal risks while balancing deal velocity and business objectives.
- Coordinate with external counsel on high-value or complex transactions as needed.
- Contribute to the continuous improvement and scaling of the legal function in a high-growth environment.
- Juris Doctor (J.D.) from an accredited law school and active bar admission in at least one U.S. state.
- 6–8 years of legal experience with a strong focus on commercial contract negotiation.
- Experience in both law firm and in-house technology company environments is highly valued.
- Demonstrated expertise in structuring and negotiating partnership, licensing, or complex commercial agreements.
- Strong business acumen with the ability to understand deal economics beyond legal terms.
- Experience working closely with business development or partnerships teams in a technology-driven environment.
- Familiarity with data licensing, product integrations, and/or regulated technology products is preferred.
- Working knowledge of global privacy frameworks such as GDPR and CCPA is a plus.
- Strong communication skills with the ability to simplify complex legal concepts for non-legal stakeholders.
- Comfortable managing multiple high-priority matters in a fast-paced, high-velocity environment.
