Law Clerk / Paralegal

This role sits at the center of a fast-paced, global legal function supporting a high-growth SaaS organization operating across multiple regions and regulatory environments. It offers the opportunity to work directly with senior legal leadership, acting as a key operational extension of the General Counsel. The position is highly hands-on, combining contract management, legal research, and cross-functional coordination with Sales, Finance, and HR teams. You will play a critical role in accelerating contract workflows, improving legal efficiency, and ensuring strong organizational compliance. Accountabilities:
- Review, draft, and redline a wide range of commercial agreements, including NDAs, MSAs, SOWs, SaaS contracts, and vendor agreements.
- Support contract lifecycle management by tracking deal flow, deadlines, approvals, and outstanding legal items.
- Conduct initial legal review of incoming contracts and escalate non-standard or high-risk clauses as needed.
- Maintain, organize, and improve the contract repository, ensuring proper version control and accessibility.
- Coordinate with external counsel, including document preparation, communication management, and invoice tracking.
- Assist with legal responses to subpoenas, regulatory inquiries, fraud requests, and government correspondence.
- Support HR-related legal documentation such as offer letters, severance agreements, and policy updates.
- Conduct legal research on topics such as data privacy, cross-border compliance, and SaaS commercial practices.
- Help maintain internal legal playbooks, templates, and standardized legal processes.
- Support internal stakeholders by clarifying contract standards and guiding acceptable commercial terms.
- Paralegal certificate, law degree, or J.D. (non-practicing or pre-bar eligible).
- 2–5 years of experience in a law firm or in-house legal environment.
- Strong understanding of commercial contracts, particularly SaaS-related agreements.
- Hands-on experience reviewing, redlining, and negotiating NDAs, MSAs, and vendor contracts.
- Excellent written and verbal communication skills with the ability to simplify legal concepts for non-legal stakeholders.
- Strong organizational skills with the ability to manage multiple priorities in a fast-moving environment.
- Proficiency with contract management systems, document tools, and Microsoft Office or Google Workspace.
- Familiarity with data privacy frameworks (e.g., GDPR, CCPA) and compliance environments is a plus.
- Experience supporting senior legal counsel in a technology or SaaS company is highly preferred.
