Director of Commercial Legal

This is a high-impact legal leadership role focused on shaping and scaling commercial contracting strategy within a fast-growing, technology-driven environment. You will serve as a key legal partner to go-to-market, finance, and product teams, helping structure and negotiate complex enterprise agreements that support innovative services and software offerings. The role combines strategic advisory responsibilities with hands-on deal execution, requiring both strong legal expertise and a practical business mindset. You will navigate dynamic pricing models, usage-based contracts, and evolving product structures while ensuring legal rigor and commercial agility. A key part of the role involves defining governance frameworks for AI and emerging technologies within commercial agreements. You will also play a central role in building scalable legal processes and improving operational efficiency across the contracting lifecycle. Accountabilities:
- Lead all legal aspects of commercial deal execution, including drafting, reviewing, and negotiating complex enterprise agreements across services and software offerings.
- Advise business and executive stakeholders on legal risk, commercial trade-offs, and contract structuring while enabling revenue growth and protecting organizational interests.
- Develop and maintain AI governance and data ownership frameworks, ensuring contracts align with evolving regulatory and technological requirements.
- Partner closely with go-to-market, finance, and product teams to structure pricing models, usage-based agreements, and scalable contracting approaches.
- Manage and coordinate external counsel, ensuring alignment on legal strategy, cost efficiency, and delivery quality.
- Improve and operationalize legal processes, building scalable frameworks for contract management, review workflows, and documentation standards.
- Contribute to cross-functional alignment by translating legal requirements into clear, actionable guidance for business teams.
- JD degree and active bar admission in at least one U.S. state.
- 10+ years of legal experience, including significant in-house experience in technology, SaaS, or digital services environments.
- Strong background in commercial contracting, product law, data privacy, or technology law.
- Experience working with or advising on AI governance, data ownership, and emerging regulatory frameworks.
- Proven ability to negotiate complex enterprise agreements and support high-value commercial transactions.
- Experience improving legal operations and building scalable processes in fast-paced or high-growth organizations.
- Excellent communication skills with the ability to translate legal complexity into clear business guidance.
- Strong collaboration skills and ability to influence cross-functional and executive stakeholders.
