Commercial Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Commercial Counsel based in the United States.

As a key member of a lean and collaborative legal team, you will lead complex commercial contracting matters, provide practical legal guidance, and partner closely with stakeholders across sales, operations, compliance, and leadership. The position combines hands-on contract negotiation with strategic legal advisory responsibilities, requiring both strong legal expertise and commercial acumen. You will play an important role in building scalable legal processes, supporting business growth initiatives, and helping navigate evolving areas such as cybersecurity, privacy, and emerging technologies. Accountabilities:

  • Draft, review, negotiate, and manage a broad range of commercial agreements, including customer contracts, reseller agreements, data processing agreements, and technology partnerships
  • Lead complex contract negotiations with enterprise customers, procurement teams, legal counterparts, and strategic partners
  • Provide practical, business-oriented legal advice that balances risk management with commercial objectives
  • Partner with internal stakeholders to support sales and go-to-market initiatives while facilitating efficient deal execution
  • Advise on privacy, cybersecurity, and data protection provisions within commercial agreements
  • Collaborate with security, compliance, and operational teams to align contractual obligations with organizational capabilities and policies
  • Develop, maintain, and improve contract templates, negotiation playbooks, fallback positions, and legal processes
  • Support legal operations initiatives designed to improve scalability, efficiency, and consistency across contracting workflows
  • Monitor legal and regulatory developments impacting commercial transactions, technology services, privacy, and emerging technologies
  • Contribute to the ongoing development and maturity of the legal function as the organization continues to grow
  • Requirements:

    • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one U.S. state bar
    • 3–8 years of relevant legal experience, preferably including in-house counsel experience within a technology-focused environment
    • Demonstrated expertise negotiating and drafting complex commercial agreements independently
    • Strong business acumen with the ability to translate legal complexity into practical, actionable business guidance
    • Experience supporting sales, business development, or go-to-market teams in a fast-paced environment
    • Knowledge of privacy, data security, and cybersecurity-related contractual requirements
    • Familiarity with AI-related legal, contractual, or regulatory considerations is preferred
    • Excellent written, verbal, and interpersonal communication skills
    • Strong organizational and project management abilities, with the capacity to manage multiple priorities simultaneously
    • Ability to work effectively in a remote and distributed environment across different time zones
    • Collaborative, solution-oriented mindset with a strong focus on stakeholder partnership
    • Experience negotiating enterprise agreements with large organizations and procurement teams is preferred
    • Familiarity with reseller, channel, managed service provider (MSP), or partner agreements is a plus
    • Prior experience in cybersecurity, software, SaaS, or technology industries is highly desirable
